Terms of Service
Version 1.3 incorporates the refund addendum into sections 3.2, 3.3 and 3.8 and clarifies retention, deletion and archived history in sections 9.4 and 9.5. Purchases made before October 13, 2026 retain the refund and credit promises that applied to them.
1. The Service
ScanDeck provides event software for organizers and exhibitors to set up events, import attendee lists, generate badges, check attendees in, capture exhibitor leads, manage vendor access, configure schedules, print badges, and export event data. The Service includes the public website, account portal, lead scanner app, check-in app, APIs, demo site, and related support services.
We may add, modify, or remove features at any time. We will not make material reductions in core functionality of paid plans during a prepaid term without offering a refund of the unused portion.
2. Accounts and Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service.
You are responsible for:
- The accuracy of the information you provide;
- Keeping your login credentials confidential;
- All activity that occurs under your account.
Notify us promptly at security@scandeckapp.com (or info@scandeckapp.com) if you suspect unauthorized access.
3. Subscriptions, Fees, and Payments
3.1 Plans
Some features of the Service are free; others require a Single Event purchase, Event Pack, Annual Unlimited plan, or custom order. Current pricing is shown on the Pricing page or in the Service.
3.2 Billing
You authorize us and our payment processor to charge your chosen payment method for the fees you agree to pay. Refunds are available as described in section 3.8, elsewhere in these Terms, in an applicable signed agreement, or as required by law.
3.3 Single Event Purchases and Activation Codes
Single Event purchases provide an activation code that unlocks one event at the purchased tier. Redeeming the activation code or beginning the paid event makes that purchase ineligible for the voluntary unused purchase refund described in section 3.8. This does not affect service failure remedies or any other applicable refund right.
3.4 Event Packs and Annual Unlimited
Event Packs provide one activation code with multiple event credits. Starter and Growth Pack credits expire 12 months from purchase; Circuit Pack credits expire 18 months from purchase unless otherwise stated at checkout. Annual Unlimited provides event creation rights for the purchased term, subject to the published fair use limits.
3.5 Renewals
ScanDeck plans do not auto-renew. Single Event purchases, Event Packs, and Annual Unlimited plans all expire at the end of their term and require a manual repurchase to continue using paid features. We will not charge a renewal fee without your express, opt-in authorization.
3.6 Taxes
Fees are exclusive of taxes. You are responsible for any sales, use, VAT, or similar taxes other than those based on our net income.
3.7 Price Changes
We may change prices on notice; changes will not take effect during your current paid term.
3.8 Refunds
Unused Purchases
You may request a full refund of a completely unused Single Event purchase, Event Pack or annual plan, including a prepaid multiyear annual plan, within 14 calendar days of purchase. A purchase is completely unused only if no activation code or event credit from that purchase has been redeemed and no paid event under that purchase has started. Receiving a code by email does not by itself count as redeeming it. Trying our free demo does not count as using a paid purchase.
The voluntary request window ends 336 hours after the purchase timestamp shown in our payment record. Your request must be sent within that window; we may finish reviewing it afterward. This voluntary offer is additional to, and does not replace or shorten, applicable statutory rights.
Changes of Mind and Event Cancellations
After activation or use, or after the voluntary 14 day window, a change of plans, event cancellation, postponement or unused credits does not automatically qualify for a refund. You may contact us to request an exception. This paragraph does not limit the service failure remedies or protected rights below. Plans do not renew automatically.
Material Service Failures
If a material failure of ScanDeck prevents you from using the core service you purchased and we cannot resolve it in time for the affected event, you are entitled to a refund of the affected service. Please contact us as soon as reasonably practicable with the event date, the affected workflow and enough information to investigate. An opportunity to investigate or fix the problem must be meaningful for the event; we will not require you to wait until after the event for a remedy that is needed beforehand.
For a Single Event purchase where the failure prevents use of the purchased core service for that event, we will refund the affected Single Event fee. For an Event Pack, we will refund the portion of the amount actually paid attributable to the affected credits, including applicable paid upgrades for the affected service. Pack discounts are preserved in the calculation; we will not reprice already used credits at an undiscounted rate.
For an annual or multiyear plan, we will assess the affected service against the amount actually paid and the extent of the failure, rather than treating one failed event as an automatic refund of the entire plan. If you terminate the affected plan because of an unresolved material failure, we will refund its unused prepaid period proportionally, starting when that termination takes effect. That calculation is the actual discounted plan price multiplied by the unused duration divided by the full purchased duration, with any applicable tax adjustment handled separately. We will provide the calculation with the refund decision.
A general service disclaimer or exclusion elsewhere in these Terms does not remove a refund expressly promised by this section. The same fee will not be refunded twice, but nothing here limits a separate remedy that applicable law requires.
Requests and Payment
Email info@scandeckapp.com with your purchase receipt or order reference, the purchasing account email, the relevant event if applicable, and a short explanation. Do not send passwords, activation secrets or complete card details. We may request reasonable information to verify the purchase and assess the request.
Approved refunds will be returned to the original payment method. If that method cannot receive the refund, we will work with you on an appropriate alternative. We will offer account credit instead only if you choose it. Any applicable tax adjustment will accompany the refund. Your payment provider controls when the returned funds appear.
Existing and Mandatory Rights
This policy does not remove or reduce rights required by law, applicable signed agreements, or refund and credit promises that applied to your purchase. For existing purchases, that includes any applicable promise of proportional credit for unused full quarters in the first year following cancellation for cause, and any applicable multiyear refund calculated from the discounted price paid. A new restriction will not be applied retrospectively to reduce those rights.
Refund rights elsewhere in these Terms remain available, including the remedies for a material reduction in paid core functionality, qualifying termination because of an intellectual property claim, and termination before modified Terms take effect when you do not agree to them. The 14 day unused purchase conditions do not limit those separate rights.
4. Your Data and Content
4.1 Customer Data
"Customer Data" means information you submit to the Service or that you capture using the Service, including attendee imports from Eventbrite, RegFox exports, or CSV files, field mappings, badge templates, QR code tokens, attendee roles or types, check-in records, walk-in entries, lead scans, notes, tags, schedule rows, badge print jobs, and exports.
4.2 Ownership
As between you and ScanDeck, you own Customer Data. We do not claim ownership of Customer Data.
4.3 License to ScanDeck
You grant ScanDeck a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Customer Data solely to provide and improve the Service, comply with law, and as described in our Privacy Policy.
4.4 Your Responsibilities for Attendee Data
You are solely responsible for:
- Having a lawful basis to collect and process Attendee information;
- Providing required notices to Attendees;
- Honoring Attendee requests under applicable privacy laws, including GDPR, UK GDPR, CCPA/CPRA, and similar laws where they apply;
- Complying with anti-spam laws (CAN-SPAM, CASL, GDPR, etc.) when contacting Attendees you captured.
You acknowledge that ScanDeck acts as your processor or service provider for Attendee data and that you act as the controller or business. If GDPR or UK GDPR applies, data processing terms are available on request and form part of the agreement when accepted by both parties.
4.5 Aggregated and Anonymized Data
We may use aggregated and de-identified data derived from your use of the Service to operate, analyze, improve, and market the Service. Such data does not identify you or your Attendees.
5. Acceptable Use
You agree not to:
- Violate any law or regulation;
- Use the Service to send spam, harvest contact data without authorization, or otherwise misuse Attendee information;
- Capture or use Attendee data without proper notice and lawful basis;
- Reverse engineer, decompile, or attempt to extract the Service's source code, except as expressly permitted by law;
- Use the Service to transmit malicious code or interfere with the Service's security or performance;
- Resell, sublicense, or provide the Service as a service bureau to third parties without our written permission;
- Use the Service to compete with ScanDeck;
- Use the Service in violation of any third party's intellectual property, privacy, publicity, or contract rights.
We may suspend or terminate your account for violations.
6. Intellectual Property
6.1 Our IP
ScanDeck and its licensors retain all right, title, and interest in the Service, including all software, designs, trademarks (including "SCANDECK"), and content provided by us. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
6.2 Feedback
If you give us feedback or suggestions, we may use them without restriction or compensation.
7. Third-Party Services
The Service may integrate with or rely on third-party services including Stripe for payments, Postmark for transactional email, Cloudflare for hosting and database services, Sentry for error monitoring, Slack if you enable Slack alerts, Eventbrite if connected, RegFox or other registration exports if you import files, CRM tools for exports, and Apple App Store, TestFlight, Google Play, or web browsers for app distribution. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.
8. Confidentiality
Each party will protect the other's non-public business information ("Confidential Information") with reasonable care and use it only to exercise rights and perform obligations under these Terms. Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party, was already known to the receiving party without obligation of confidence, is independently developed, or is rightfully received from a third party. The receiving party may disclose Confidential Information when required by law, provided it gives reasonable prior notice to the disclosing party where legally permitted.
9. Term and Termination
9.1 Term
These Terms remain in effect while you have an account with us or use the Service.
9.2 Termination by You
You may terminate your account at any time by following the cancellation steps in your account settings or by emailing support@scandeckapp.com (or info@scandeckapp.com).
9.3 Termination by Us
We may suspend or terminate your account if:
- You materially breach these Terms;
- We are required to do so by law or by a request from a regulator;
- You fail to pay fees when due and do not cure within 10 days of notice;
- We reasonably believe your use poses a security risk to the Service or other customers.
We will use commercially reasonable efforts to provide notice before suspending or terminating, except where doing so would expose the Service or other users to harm.
9.4 Effect of Termination
Upon termination:
- Your right to access the Service ends immediately;
- Retention and deletion of Customer Data are handled as described in the Privacy Policy and any applicable data processing agreement, subject to applicable law, verified instructions from the responsible controller and justified retention exceptions. Ending account access does not itself erase all associated personal data;
- Sections that by their nature should survive (including 4.5, 6, 8, 10–16) will survive termination.
To request deletion of your account or specific personal data, follow the account and data deletion instructions. Requests are reviewed manually for identity, authority, scope and applicable exceptions. We respond within the time required by applicable law; termination does not extend a request deadline.
9.5 Data Export
Before termination, you may export Customer Data using the export tools provided in the Service. We are not obligated to retain Customer Data after termination except as required by applicable law, an applicable agreement or as described in the Privacy Policy. This does not limit your applicable access or portability rights.
Archived event history is not limited to anonymous counts. It may include event and account identifiers, the archiving operator's email address, and vendor names and codes, as described in the Privacy Policy. Archiving does not itself erase all associated records, downloaded or emailed exports, provider records, or backup and recovery copies; those remain subject to the applicable retention and deletion processes.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCANDECK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED.
YOU ARE RESPONSIBLE FOR YOUR USE OF THE SERVICE AND FOR ENSURING THAT YOUR USE COMPLIES WITH APPLICABLE LAW.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(A) NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) SCANDECK'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO SCANDECK FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
(C) THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
(D) THESE LIMITATIONS DO NOT APPLY TO: (i) A PARTY'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12; (ii) YOUR PAYMENT OBLIGATIONS; (iii) BREACHES OF SECTION 5 (ACCEPTABLE USE) OR SECTION 6 (INTELLECTUAL PROPERTY); OR (iv) LIABILITIES THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
12.1 By You
You will defend, indemnify, and hold harmless ScanDeck, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your or your authorized users' use of the Service;
- Customer Data, including any claim that Customer Data violates applicable privacy law or infringes any third party's rights;
- Your breach of these Terms;
- Your violation of any law or third-party right.
12.2 By Us
We will defend you against any third-party claim alleging that the Service, when used as permitted under these Terms, infringes a United States patent, copyright, or registered trademark, and we will pay any damages finally awarded by a court of competent jurisdiction or agreed in settlement.
We have no obligation under this Section 12.2 for claims arising from: (a) Customer Data; (b) modifications to the Service not made by us; (c) combination of the Service with other products not provided by us; or (d) your use of the Service in breach of these Terms.
If the Service is, or in our opinion is likely to become, the subject of an infringement claim, we may at our option (i) procure the right for you to continue using the Service, (ii) modify the Service to be non-infringing, or (iii) terminate the affected features and refund any prepaid, unused fees.
This Section 12.2 states our entire liability for infringement claims relating to the Service.
12.3 Process
The indemnified party will: (a) promptly notify the indemnifying party of the claim; (b) give the indemnifying party sole control of the defense and settlement (provided no settlement requires admission or unreimbursed payment by the indemnified party); and (c) provide reasonable cooperation at the indemnifying party's expense.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
13.2 Venue
Subject to Section 13.3, any action arising out of these Terms or the Service must be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to personal jurisdiction in those courts.
13.3 Informal Dispute Resolution
Before filing a claim, the parties will attempt in good faith to resolve the dispute by negotiation, beginning with a written notice sent to the other party. If the dispute is not resolved within thirty (30) days, either party may pursue formal proceedings.
13.4 Class-Action Waiver
To the maximum extent permitted by law, each party agrees that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action.
13.5 Equitable Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
14. Test and Early Access Features
We may offer features labeled as "test," "early access," or similar. Such features are provided AS IS, may be unstable, and may be modified or discontinued at any time. Confidentiality obligations apply to any non-public information about test or early access features.
15. Modifications to the Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by email, in-app notice, or by prominent notice on the Service at least 14 days before the changes take effect, unless changes are required by law or relate to a new feature. Your continued use of the Service after the effective date of changes constitutes acceptance.
If you do not agree to the modified Terms, you may terminate your account before the changes take effect, and we will refund any prepaid, unused fees.
16. General
16.1 Entire Agreement
These Terms, the Privacy Policy, and any order forms or other agreements you sign with ScanDeck are the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous proposals or agreements on that subject.
16.2 Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
16.3 No Waiver
Failure to enforce any provision is not a waiver of the right to enforce it later.
16.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. Any unauthorized assignment is void.
16.5 Force Majeure
Neither party will be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, riots, labor actions, internet outages, or governmental orders.
16.6 Independent Contractors
The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, fiduciary, or employment relationship.
16.7 No Third-Party Beneficiaries
Except as expressly stated, these Terms do not create any third-party beneficiary rights.
16.8 Notices
Notices to ScanDeck must be sent to legal@scandeckapp.com (or info@scandeckapp.com) and to: ScanDeck LLC, 418 Broadway STE 11563, Albany, NY 12207. Notices to you may be sent to the email address on file for your account.
16.9 Headings
Headings are for convenience only and do not affect interpretation.
16.10 Export and Sanctions
You represent that you are not located in, ordinarily resident in, or a national of any country or region subject to U.S. embargo, and that you are not on any U.S. government list of restricted parties.
16.11 U.S. Government Users
The Service is "commercial computer software" and "commercial computer software documentation" as those terms are used in 48 C.F.R. § 12.212 (for civilian agencies) and 48 C.F.R. §§ 227.7202-1 and 227.7202-3 (for DoD agencies). Any use, modification, reproduction, release, performance, display, or disclosure of the Service or related documentation by the U.S. Government is governed solely by these Terms and is prohibited except to the extent expressly permitted by these Terms.
16.12 Electronic Communications and Signatures
You consent to receive communications from us electronically (email, in-app, or via the Service) and agree that any electronic communication satisfies any legal requirement that such communication be in writing. You agree that any electronic acceptance, signature, or "click-through" you provide has the same legal effect as a handwritten signature.
16.13 Apple App Store Additional Terms
If you obtain the Service through the Apple App Store, the following additional terms apply, and in the event of a conflict with the rest of these Terms, the following terms control with respect to your use of the Apple-distributed app:
- These Terms are between you and ScanDeck only, not with Apple. Apple is not responsible for the Service or its content.
- Your license is limited to use on Apple-branded devices that you own or control, as permitted by the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide maintenance or support for the Service.
- If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the Service to you (if any). To the maximum extent permitted by law, Apple has no other warranty obligation. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty will be ScanDeck's responsibility, not Apple's.
- ScanDeck is responsible for addressing claims by you or any third party relating to the Service or your possession or use of the Service.
- ScanDeck is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim relating to the Service.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.
16.14 Google Play Additional Terms
If you obtain the Service through Google Play, you acknowledge that Google is not a party to these Terms and is not responsible for the Service. Your use of the Google-distributed app must also comply with the Google Play Terms of Service.
